1. Welcome

These Terms of Use govern your use of the BeeSTAR website, the BeeSTAR app, the BeeSTAR sensor system, and any related services we provide. They apply between you and BeeSTAR Holdings Pty Ltd (ABN [insert]), trading as BeeSTAR. By using our services, you accept these Terms. If you don't accept them, please don't use the services.

2. Definitions

  • "Services" means the BeeSTAR website, the BeeSTAR app, the BeeSTAR sensor system, and any related services we provide
  • "Hardware" means the BeeSTAR sensor enclosure and any other physical equipment we supply
  • "Data" means all data generated from your use of the Services, including personal information and hive data
  • "We", "us", "our" means BeeSTAR Holdings Pty Ltd and its related entities
  • "You" means the customer using the Services, whether as an individual or on behalf of an organisation

3. Your right to use the services

We grant you a non-exclusive, non-transferable licence to use the Services for monitoring and managing the health, status, conditions, and movement of your hives. The licence runs for the duration of your active subscription or service agreement and is subject to these Terms.

4. Your account

You're responsible for keeping your account credentials secure. Tell us promptly if you think someone else has access to your account.

5. Hardware

Where Hardware is provided as part of your service, it remains BeeSTAR property unless your written agreement with us says otherwise. You agree to:

  • Use the Hardware as intended and as documented
  • Not modify, tamper with, or attempt to reverse engineer it
  • Return it in good working condition, allowing for reasonable wear and tear, at the end of your service

6. Service availability

We aim to keep the Services available continuously. We can't guarantee uninterrupted access. Connectivity, sensor performance, third-party service providers, and external events can affect availability. We're not liable for losses caused by service interruption beyond our reasonable control.

7. Fees and payment

Fees are set out in your service agreement, order form, or pricing schedule, all of which form an integral part of these Terms. Payment terms, currency, and frequency are agreed at signup. Late payment may result in suspension or termination of access after written notice.

8. Data, ownership, and privacy

Your data is handled under our Privacy Policy, which forms part of these Terms. Key points to note:

  • You retain ownership of the raw data generated by your hives, including sensor readings and hive records you create
  • We retain ownership of the analytical models, derived insights, and aggregated outputs built from that data
  • We don't sell your personal data
  • We're a signatory to the Australian Farm Data Code

9. Termination

You can end your service by following the termination process in your service agreement. We can end your access if you breach these Terms or fall behind on payments after written notice and a reasonable opportunity to remedy.

On termination:

  • You must return any BeeSTAR Hardware in good working condition within the timeframe set out in your agreement
  • Your personal information will be deleted within thirty days of completion of the termination process and return of Hardware
  • Hive data is retained in identifiable form for six months, then de-identified

10. Risk awareness

We take data security seriously and use industry-standard protections. We can't fully eliminate the risk of data breaches, unauthorised access, or service disruption from external factors. By using the Services you acknowledge those risks.

11. Limitation of liability

To the fullest extent permitted by Australian law, our total liability to you for any claim arising from your use of the Services is limited to the fees you've paid us in the twelve months before the claim arose. We're not liable for indirect, consequential, or special damages.

Nothing in these Terms excludes or limits any rights you have under the Australian Consumer Law or other Australian legislation that can't lawfully be excluded.

12. Amendments

We may update these Terms from time to time. The current version will always be on our website. Material changes will be communicated to active users by email or through the app. Continued use of the Services after changes are posted means you accept the updated Terms.

13. Disputes

If a dispute comes up, we'd rather sort it out by talking. If we can't, disputes will be resolved through arbitration under the rules of the Australian Centre for International Commercial Arbitration. Arbitration will take place in Brisbane, Queensland unless we agree otherwise.

14. Governing law

These Terms are governed by the laws of Queensland, Australia.
